This paper examines the rights and obligations of Non-fungible token(“NFT”). NFT transaction can be divided into two parts, the transaction of NFT itself and the transaction of contents which NFT represents (“NFT Contents”). Regarding the transaction of NFT itself, whether or not NFT can be classified as real right, bond, intellectual property is arguable. Therefore, it is necessary to further review if the view of the cryptocurrency as a real right can be applied to NFT itself as well. Regarding the transaction of NFT Contents, there are various discussions on the legal nature of Digital Contents Use Contract, such as the argument that the nature of the contract above is sales contract. Also, it is arguable that what kind of contract under the Civil Law can be applied for NFT Contents transactions. Lastly this paper examines about NFT buyers Rights and Obligation in various cases.
본 논문에서는 NFT 구매자의 권리와 의무에 대해 검토해보았다. 우선, NFT 거래를 NFT 자체가 거래되는 법률행위와, NFT가 표상하는 콘텐츠가 거래되는 법률행위 2가지로 분리한 뒤, 각각의 법률행위의 성질에 대해서 자세히 분석해 보았다. NFT 자체의 거래와 관련해서는, NFT 자체가 재산권, 물권, 채권, 지식재산권의 대상이 될 수 있는지 검토하였고, 암호화폐의 물건성에 관련한 논의를 NFT에까지 확장할 수 있을지 검토하였다. NFT가 표상하는 콘텐츠의 거래와 관련해서는, 디지털콘텐츠 이용계약의 법적성질에 관한 다양한 논의를 검토하였고, 디지털 콘텐츠 이용계약을 매매계약이라고 보는 관점에 대해 검토해보았다. 그리고 NFT 콘텐츠 거래를 민법상 어떤 종류의 법률행위로 포섭할 수 있을지에 대해서도 검토하였다. NFT 권리자의 권리와 의무와 관련해서는, 오프라인 콘텐츠를 거래하기 위해 NFT를 사용하는 경우, 오프라인 콘텐츠를 디지털콘텐츠화 한 뒤 이를 NFT로 거래하는 경우, 원본인 디지털 콘텐츠를 NFT로 거래하는 경우, 기타의 경우로 나눠 개별 경우의 구매자의 권리와 의무에 대해 검토하였다.
