Share pledging has been used as a means of handling the liquidity constraints of the companies by fundraising the money collateralized on stocks held by insiders of a company, such as the largest shareholders or major shareholders. At the same time, insider’s share pledging cause agency problem, which affects negatively on outside investors. We examine the relationship between share pledging by insiders and the value of the cash holdings using the data of the Korean companies, and how this will affect payoff policies on the companies as well. Furthermore, we examine which method of payoff policies, repurchases, and distributing dividends, would have the higher marginal value of cash than the other one. Adding this, we divide the companies based on market capitalization, showing that the accessibility and visibility of information would affect the frequency of pledging data, supporting the market inefficiency theory.
주식담보대출은 최대 주주 및 주요 주주 등 기업의 내부자가 보유한 주식을 담보로 자금을 조달하는 행위로써 기업의 유동성 제약을 완화하는 수단으로서 이용되어 왔다. 동시에 내부자의 주식담보대출은 대리인 문제를 야기시켜 외부 투자자들에게 부정적인 효과로 발현되는 것이 발견되었다. 본 연구에서는 내부자의 주식담보대출이 한국 기업의 현금 성 자산의 가치와 어떠한 연결고리가 있는지 확인하고 기업 배당 정책에 어떤 영향을 미치는지 확인하고자 한다. 나아가 배당 정책 가운데 자사주 재 매입과 배당금 분배 중 어떤 방식이 회사의 현금 성 자산의 가치를 확대시킬 수 있는지 분석한다. 또한, 시가총액별로 회사를 분류한 뒤 크기에 따라 회사의 정보의 접근성 및 투명성 수준과 주식담보대출 정보의 주기성에 대해 분석하여 시장의 비효율적 가설에 대한 설명을 제공한다.
