A firm value and profit can be influenced by an entrepreneur’s choice of financing between debt and equity. This thesis notes that many start-up firms adopt equity financing contracts, unlike the results of studies which show that debt financing contracts are optimal. This thesis first confirms the possible optimality of equity financing contracts by modifying the existing model and then derives the optimal equity financing contract that maximizes the entrepreneur’s payoff with using a signaling game model with signaling effect of dividend. In this optimal contract, the investor always requires the stake for future cash flow as same value. If the project of entrepreneur is profitable, he can make a first-best contract that there is no default risk. Otherwise the project is less profitable but the signaling is effective, the investor can improve his payoff from discriminating his signal. And, this thesis confirms these findings with numerical simulations.
기업가가 자금 조달에 부채나 자본을 선택하는 것에 의해 기업의 기업 가치와 이윤은 달라질 수 있는데, 부채로 조달하는 것이 효과적이라는 사실이 알려져 왔다. 하지만 이 논문은 부채를 통한 자금 조달 계약이 효율적이라는 기존 연구와 다르게 많은 스타트업 기업에서 자본을 통한 자금 조달 계약을 맺고 있다는 사실에 주목하였다. 이에 따라 이 논문에서는 기존 연구의 모형을 수정하여 자본을 통한 자금 조달 계약의 가능성을 확인하고, 이러한 상황에서 배당에 따른 신호 효과와 신호 모형을 통하여 투자자가 손해를 보지 않는 상황에서 기업가의 이윤을 극대화할 수 있는 최적의 자금 조달 계약을 유도하였고 이 계약에서 투자자가 요구하는 지분율은 항상 같다는 것을 확인하였다. 또한, 기업가는 기본적인 사업성이 좋은 경우 부도의 위험성이 없는 가장 좋은 계약을 맺을 수 있고, 사업성이 상대적으로 좋지 않더라도 신호 효과가 강한 경우 배당을 통한 차별화를 통하여 보수를 늘릴 수 있다는 특징을 가지고 있다.
