The emergence of insolvent companies is a natural phenomenon when considering the uncertainty of diverse variables affecting corporate profits in market economy capitalism. The main stakeholder of insolvent enterprises take steps to alleviate considerable risks and costs related to insolvent enterprises. Due to information asymmetry, creditors who first become aware of corporate insolvency can show opportunistic behaviors by being reimbursed first through an agreement with the debtor in the process of voluntary agreement between creditors with various interests. It would be desirable for society to control this opportunistic behavior and out-of-court debt restructuring should be carried out smoothly so that the corporate rehabilitation process can proceed quickly. This research provides a conceptual framework for corporate rehabilitation and bankruptcy through a comprehensive game theory model. It includes a consideration of the correlation between out-of-debt restructuring and legal bankruptcy systems, discussions on strategic decision-making that the court faces when a bankruptcy company applies for legal rehabilitation procedures, and discussions on controlling creditors' opportunistic behavior.
자본주의 시장경제에서 기업의 이윤을 좌우하는 다양한 변수들의 불확실성을 고려한다면 부실기업의 출현은 자연스러운 현상이며 부실기업과 관련된 주체들의 비용 및 부담을 경감하기 위한 제반조치가 수반되어 왔다. 다양한 이해관계를 가진 채권자들이 자발적 합의를 하는 과정에서 정보비대칭으로 인하여 기업 부실화 정보를 먼저 알게 된 채권자가 채무자와 합의를 통해 우선적으로 변제받는 기회주의적 행동을 보일 수 있다. 이러한 기회주의적 행동을 억제하고 사적조정이 원활하게 이루어져 기업회생절차가 신속하게 진행되도록 하는 것이 사회 전체적으로 바람직 할 것이다. 본 연구는 사적조정과 법적 파산제도의 연관성 고려, 파산기업이 법적 회생절차를 신청하는 경우 법원이 직면하게 되는 전략적 의사결정 논의, 채권자의 기회주의적 행동 억제 논의를 모두 포괄하는 통합적 게임이론 모형을 통해 현실의 기업 회생 및 파산처리를 이해하는 개념적 틀을 제공한다.
