The Smart Contract based on this technology is a computer program code that guarantees the automatic execution of the contract but requires the other party to perform certain actions necessary for the execution of the condition. There is a disagreement about the issues on the defaults of contracts. The view that a default is not achieved is based on performance and construction as soon as the condition is satisfied. However, even if the implementation is enforced and implemented immediately, legal issues such as incomplete implementation and contingent liability may remain, and default may exist depending on the nature of the contract and the designed conditions. Even if the provision has been satisfied, defaults, in complements and forfeitures can be a problem if the benefits are impaired. In the event of defects or breach, it will be necessary to develop technical collateral, such as designing additional code to provide collateral for implementation on smart contracts or creating a separate server with escrow function. To actively utilize the blockchain in the market to develop and apply it to the real industry, a unified standardization of terminology and concepts will be required by academics and businesses, and guidelines and regulatory sandboxes will be needed. To this end, it is believed that the government should also work on standardization so that it can use smart contacts in the right direction.
블록체인은 공개 암호화 기술이자 분산 데이터 베이스로서 신뢰성 담보와 검증 기능을 갖추고 있다. 동 기술을 기반으로 한 스마트 컨트랙트는 계약의 자동 실행이 보장된 컴퓨터 프로그램 코드이나, 상대방에게 조건의 실행에 필요한 일정한 행위를 요구하므로 이행과정에 인간의 개입이 완전히 배제된다고 보기 어려우며, 코드설계자의 코드작성과 거래상대방의 조건 실현은 거래당사자의 의사가 발현된 것이므로 스마트 컨트랙트를 계약의 교섭과 이행이 코드에 의해 자동으로 수행, 인증되거나 집행되는 약정으로, 그 법적 성격을 계약으로 보는 것이 타당하다.
스마트 컨트랙트 상에서는 채무 불이행과 관련한 견해의 대립이 존재한다. 채무 불이행이 성립하지 않는다고 보는 견해의 경우, 조건이 성취되는 즉시 이행되는 이행 즉시성과, 코드에 따른 이행 강제성을 이유로 한다. 그러나 조건 성취에 따라 이행이 강제되고 즉시 이행되더라 해도, 불완전 이행, 하자 담보 책임과 같은 법적 문제는 잔존할 수 있으며, 계약의 성격과 설계된 조건에 따라 채무 불이행은 존재할 수 있다. 이행된 급부에 하자가 있다면 채무 불이행, 불완전이행과 하자담보책임이 문제될 수 있다. 스마트 컨트랙트 급부에 하자가 있는 경우에는 이를 극복하기 위하여 스마트 컨트랙트 상 이행 담보 제공을 위한 코드를 추가로 설계하거나, 에스크로 기능을 갖춘 별도의 서버 마련 등 기술적 담보 장치 마련이 필요할 것이다.
블록체인을 적극적으로 활용하여 스마트 컨트랙트 기술을 개발하고 실 산업에 적용하기 위해서는 학계와 기업에서 통일된 용어 및 개념 표준화 절차가 필요하며, 가이드라인과 규제 샌드박스가 필요할 것이다. 이를 위해 우리 정부 또한 스마트 컨트랙트를 올바른 방향으로 활용할 수 있도록 표준화 작업에 노력하여야 할 것으로 생각된다.
