The principle of a public trial is one of the fundamental principles of a constitutional government. For a trial to be carried out faithfully in a public court, many materials are required to be disclosed. However, in cases in which trade secret requiring the secrecy of legal materials is included, whether these types of legal materials should be included as materials to be disclosed becomes an issue. The reason is that in cases in which trade secret is generally disclosed through a public trial, it may result in the loss of secrecy. Due to this kind of concern, the owner of the trade secret, concerning the infringement of trade secrets, ends up bypassing legal remedy enforced through civil procedure, and in the case in which legal action is taken, hesitates to disclose the specific details of one’s trade secrets. In this manner, the dual values of the principle of the public trial and assurance of the secrecy of trade secrets inevitably conflict in the trial process, giving rise to a difficult issue that cannot be readily solved. To solve this issue of conflict of values and prevent a decision in which secrecy of trade secrets is infringed upon during the civil jurisdiction process, South Korea and the United States are securing institutional measures for the protection of trade secret during the civil procedure, and the courts of both countries are also directing their efforts toward reconciling the dual values of securing right of access and protecting trade secret through balancing interests. The related systems of both countries and stances of the courts were reviewed discretely from the aspects of "identification of trade secret", "restricted examination of evidence for the protection of trade secret", and "resctricted disclosure of court records and proceedings". As institutional measures for the protection of trade secret subject to infringement during the civil procedure, in the practice of the U.S. courts, protective orders and sealing measures were often used. The contents of the two systems and the stances of U.S. courts were reviewed with a focus on federal practice. As for Korea's related systems, systems such as confidentiality order, restricted disclosure of court records or final judgments, and others may be raised. The limits of South Korea's systems were analyzed, and the author's opinions concerning an institutional plan for improvement were also proposed.
공개재판의 원칙은 법치국가의 기본원칙 중 하나이다. 공개된 법정에서 충실한 심리가 이루어지기 위해서는 가급적 많은 자료가 공개된 재판에서 현출될 필요가 있다. 그러나 소송자료에 비밀성을 요건으로 하는 영업비밀이 포함되어 있을 경우 이러한 소송자료 또한 공개의 대상에 포함하여야 하는지 문제 된다. 왜냐하면 영업비밀이 공개재판을 통해 일반에 공개될 경우 그 비밀성이 상실되는 결과가 야기될 수 있기 때문이다. 이러한 우려로 인해 영업비밀 보유자는 그 영업비밀 침해에 대하여 민사소송을 통한 권리구제를 꺼리게 되고, 소송을 제기한 경우에도 자신의 영업비밀을 구체적으로 특정하는 것을 주저하게 된다. 이렇듯 공개재판의 원칙과 영업비밀의 비밀성 보장이라는 두 가치는 재판 과정에서 불가피하게 충돌되기 마련이고, 쉽사리 해결하기 어려운 문제를 야기한다. 이러한 가치충돌 문제를 해결하고 민사소송절차에서 영업비밀의 비밀성이 상실되는 결과를 방지하기 위하여, 우리나라와 미국은 민사소송절차에서의 영업비밀 보호를 위한 제도적 장치를 마련하고 있고, 두 나라의 법원 또한 비교형량을 통해 재판에 대한 접근권 보장과 영업비밀 보호라는 두 가치를 조화시키려는 노력을 기울이고 있다. 두 나라의 관련 제도와 법원의 태도를 '영업비밀의 특정'의 측면,'영업비밀의 보호를 위한 증거조사의 제한'의 측면, '소송기록과 절차의 공개 제한'의 측면으로 나누어 살펴보았다. 민사소송절차에서 침해 대상 영업비밀을 보호하기 위한 제도적 장치로서 미국 실무에서 자주 이용되는 것이 보호 명령과 봉인 조치이다. 두 제도의 내용과 미국 법원의 태도에 대해 연방 실무를 중심으로 살펴보았다. 우리나라의 관련 제도로는 비밀유지명령, 소송기록 또는 확정판결서의 열람 제한 제도 등을 들 수 있다. 우리나라 제도의 한계점을 분석해 보았고, 제도적 개선 방안에 대한 필자의 의견도 제시해 보았다.
