The type of industry changing. And the type of business combination are rapidly changing and diversifying. This breaks the boundaries of the market definition and competition limitations, which are illegal standards in view of the Fair Trade Act. There is an increase in cooperation between various companies such as mergers and acquisitions (M & A) and joint ventures. Thus, the ambiguity of judgment is increased. And Internet portals with unique market status are worthy of Fair trade legal research. This study examines the issue of fair trade law through the case of joint venture that Internet portals and media have combined. The cooperation between companies in the Internet portal can be judged by the combination of business combination and unfair joint act (cartel) according to the Fair Trade Act. However, it is difficult to exclude aspects that have limitations and positive effects such as basic market definition. Therefore, there is a high need for self-regulation among business partners of Internet portals. In this paper, we propose a self-regulation method.
산업형태 변화와 기업 결합 유형이 매우 빠른 속도로 바뀌고, 다각화 되고 있다. 이는 공정거래법 관점에서 위법성 기준인 시장획정과, 경쟁제한성 등의 경계를 무너뜨리고, 기존 사업과 달리 인수·합병(M&A), 조인트벤처 등 다양한 기업 간 협력행위는 판단의 모호함을 가중시킨다. 특히 공정거래법적으로 독특한 시장 지위를 갖는 인터넷 포털은 연구가치가 크다. 본 연구에서는 인터넷 포털과 언론사가 결합한 조인트벤처 사례를 통해 공정거래법적 쟁점을 살펴본다. 인터넷 포털의 기업 간 협력행위는 공정거래법에 따른 기업결합과 부당한 공동행위(카르텔) 등으로 판단될 수 있지만, 한편 기본적인 시장획정 등의 한계와 긍정적 효과를 갖는 측면도 배제하기 어렵다. 따라서 인터넷 포털의 기업 간 협력행위에 있어서는 참여하는 당사자 간 자율규제를 통해 공정거래법적 경쟁제한성을 완화해야 할 필요성이 높다. 본 논문에서는 자율규제 방안을 제언한다.
