The business combination between SK Telecom and CJ Hello Vision is the first business combination between cable TV operators and telecom operators in Korea. Until now, mainly business combination between telecommunication companies or business combination between cable TV companies. The law and system for the merger of broadcasting and telecommunication companies stayed at a level that could accommodate only such changes.However, there is a high possibility that the business combination between broadcasting service providers such as cable TV operators, satellite broadcasting service providers, and telecommunication service providers will continue to be tried in the future.Transparent and predictable business combination criteria and procedures need to be different from before.We compared the standards and procedures of Korean and American broadcasting and communication companies.The Fair Trade Commission, the Minister of Science, Technology and Information and the Korea Communications Commission (KCC) examined the criteria for judging the combination of broadcasting and telecommunications companies based on certain criteria.The US Justice Department and the Federal Communications Commission analyzed the screening standards and procedures..Based on this analysis, we will analyze the differences of standards and procedures between Korea and the United States.In addition, we will look for the direction of development of examination standards and procedures that can improve the predictability and transparency of the merger of broadcasting and telecommunication companies, and suggest ways to improve them
SK텔레콤의 CJ헬로비전 인수는 국내 최초의 통신사업자와 케이블TV 사업자간 기업결합 시도었다. 이전까지는 통신사업자간 기업결합 또는 케이블TV사업자간 기업결합 위주로만 진행됐다. 방송통신 기업결합에 대한 법, 제도도 이같은 변화만을 수용할 수 있는 수준에 머물렀다. 하지만, 방송통신 시장에서 케이블TV사업자, 위성방송, 통신사업자 등 방송통신 사업자간 기업결합은 앞으로 지속적으로 시도될 가능성이 높다. 이전과 다른, 투명하고 예측가능한 기업결합 심사 기준과 절차 필요성은 커질 것으로 보인다. 한국과 미국의 방송통신 기업결합 심사 기준과 절차, 사례를 비교했다. 공정위와 과기정통부 장관, 방통위가 어떤 기준에 의거, 어떤 절차로 방송통신 기업결합을 심사하는 지 살펴봤다. 미국 법무부와 연방통신위원회의 심사 기준과 절차도 분석했다. 이를 바탕으로 한국과 미국의 방송통신 기업결합 심사 기준 및 절차의 차이를 분석하고자 한다. 아울러 방송통신 기업결합 심사의 예측가능성과 투명성을 높일 수 있는 기준과 절차의 발전 방향을 모색하고, 개선 방안을 제시하고자 한다.
