As mergers and acquisitions (M&As) are widely used as an important strategic mode over the last several decades, acquisition decisions have increasingly become an important research subject in academic fields. Concentrating on two critical decisions, i.e., premium and completion (vs. abandonment), in takeover processes, this doctoral dissertation seeks to delve into the factors that influence organizational decisions in a multifaceted way. Particularly, I examine the board gender diversity as a firm-level attribute, stock market reactions as a market-level attribute, and national economic development disparity between involved parties as a country-level attribute, respectively.
오늘날 기업의 전략적 도구로서 M&A의 활용이 확대됨에 따라, M&A 의사결정은 경영학 분야의 중요한 주제로서 연구되고 있다. 본 학위논문은 프리미엄과 완료여부라는 두 가지의 주요 의사결정에 집중하여, 기업의 의사결정에 영향을 미치는 요인을 다각적으로 고찰해 보는 것을 목적으로 한다. 이를 위해 기업 측면에서 기업의 이사회 내 여성멤버를, 시장 측면에서 M&A 발표에 대한 시장의 반응을, 국가 측면에서 인수기업과 피인수기업 간 국가경제 발전 수준의 차이를 살펴보았다.
