Corporate governance is a mechanism for coordinating the relationships among stakeholders in company’s business activities. These changes in corporate governance include traditional factors such as managers, board of directors, shareholders' meeting, ownership structure, capital markets, employees, legal and institutional environments, and future environmental factors such as globalization, financial revolution, IT revolution, platform business, network and connectivity. The future of corporate governance will be influenced by these factors. Recently, the block-chain technology is expected to have an impact on corporate governance. In particular, it is expected to improve various governance structures by enhancing transparency of ownership and facilitating liquidity of stocks. In this thesis, we will examine the factors affecting corporate governance and the effects of future technologies such as block-chain on corporate governance.
기업지배구조는 기업 활동에서 이해관계자들 간의 관계를 조정하는 메커니즘이다. 기업지배구조의 결정요인으로는 경영자, 이사회, 주주총회, 소유구조, 자본시장, 종업원, 법률과 제도 환경 등 전통적인 요소와 글로벌화, 금융혁명, IT혁명, 플랫폼 비즈니스, 네트워크와 연결성 등 미래 환경 요인들이 있다. 기업지배구조의 미래는 이들 요소들의 복합적 영향을 받게 될 것이다. 최근 주목받는 블록체인 기술은 기업지배구조에도 영향을 미칠 것으로 전망되며, 특히 오너십의 투명성 제고, 주식의 유동성 촉진 등으로 다양한 지배구조 개선 효과가 기대된다. 본 학위논문에서는 기업지배구조의 변화요인을 고찰하는 한편 블록체인과 같은 미래기술이 기업지배구조에 미치는 영향을 살펴보고자 한다.
