This study reviews why existing theoretical approaches to the cause, structure and formation mechanism of the chaebol’s ownership structures have not been effective. As an alternative, this study applies the comprehensive economic history approach of Fernand Braudel to the subject to interpret the ownership structure of the chaebol to describe that a spread out of shareholdings or a separation between ownership and management of the chaebol are not necessary in the sake of corporate management or the national economy. The ownership structure of the chaebol cannot be seen as mostly due to the concentration of economic power or a monopoly system. Rather, the monopolistic capitalist system that formed partly as the result of a close partnership between the state and corporations led to many issues that are present in the Korean economy. As such, strengthening the rights of minority shareholders to disperse the chaebol’s ownership may not be a viable solution to the issues today. The historically embedded collusion between the state governance and enterprises must be broken off not through market mechanisms but by an active role of the state that allocates retained capital throughout the society to enhance public good.
본 연구는 재벌 소유구조의 발생 원인과 구조 및 형성 메커니즘에 관하여 적용되어 온 기존의 이론적 접근들이 효과적이지 못했던 이유를 살펴보는 데서 출발한다. 의미있는 하나의 대안적 시각으로 페르낭 브로델의 전체사적 사회경제사관을 제시하여 이를 재벌 소유구조를 해석하는 데 적용하고 다음과 같은 논리를 전개한다. 첫째, 기업 경영과 국가 경제를 개선하는 데 재벌의 소유 분산이나 소유-경영 분리가 반드시 필요하지는 않다. 둘째, 재벌의 소유구조는 경제력 집중이나 독과점 구조가 발생한 주요 원인이라 볼 수 없다. 셋째, 국가와 기업간 결탁 관계에 따라 독점적 자본주의 체제가 형성되면서 오늘날 한국 경제의 제 문제들이 발생했다. 넷째, 따라서 현재의 문제를 개선하려면 소수주주권 강화를 통해 재벌의 소유 분산을 유도하며 시장에 맡기는 방식이 아니라, 한국 경제에 깊이 뿌리내린 독과점 구조 및 국가 거버넌스와 기업간 결탁 관계를 해체하면서 사회 전반의 잉여 자본을 공적 목적에 따라 취합 관리하는 국가의 역할이 중요하다.
