In this paper, I investigate the effect of M&A characteristics on the long-term performance of acquiring firm by using the M&A cases of U.S companies from January 1985 to December 2010. This is the first attempt to take into account M&A characteristics when examining the post-M&A performance. To measure long-term performance after M&A, I use both event-time portfolio approach (buy-and-hold abnormal return) and calendar-time portfolio approach (Fama-French three factor model). As a result, I find the long-term underperformance of acquiring firms after M&A, which is consistent with previous studies. The major finding of this paper is that acquiring firms perform better in the long-term if the acquirer and the target are heterogeneous in terms of firm size and location. However, in terms of industry and R&D intensity, acquiring firms perform better in the long-term if the acquirer and the target are homogeneous. These results indicate that companies should target M&A partners that are the same industry firms and smaller firms.
본 논문에서는 1985년 1월부터 2010년 12월까지의 미국기업들의 인수합병 사례들을 이용하여 인수합병 특성에 따른 인수기업의 장기적 성과에 관해 연구하였다. 인수합병 이후 장기적 성과를 측정하기 위해, 본 논문에서는 사건-시점 포트폴리오 접근법(buy-and-hold abnormal return)과 달력-시점 포트폴리오 접근법(Fama-French three factor model)을 모두 이용하였다. 그 결과, 우선 이전 연구와 일치하는 인수합병 이후 인수기업의 저성과 현상을 확인할 수 있었다. 본 논문의 주요 발견은 인수기업과 피인수기업의 규모차이가 클수록, 그리고 서로 다른 주에 위치할수록 더 나은 성과를 보인다는 것이다. 또한, 산업과 연구개발 집중도에 관해서는 인수기업과 피인수기업이 유사할 경우 인수기업의 장기적 성과가 더 나은 것으로 나타났다. 즉, 이 논문의 주요 결과는 기업들이 인수합병 대상으로 같은 산업 내의 기업 그리고 더 작은 기업을 정해야 한다는 점을 시사한다.
