The Purpose of this study is to draw implications on the improvement of corporate governance reform in SK Group which is one of the largest business groups in Korea. According this study, the improvement of SK’s corporate governance can be summarized as two things; managing by board of directors and establishing the holding company. From the case of SK, it has been found that there are the following positive functions: First, the corporate governance structure has become simple and transparent. Second, there has been effect of blocking transition of risk from other subsidiaries under same conglomerate. Third, the reputation of SK has been improved. Fourth, it has enabled restructuring to be done more effectively. Fifth, it has led high efficiency in corporate management and administration. Also, many stakeholders have been evaluating that the improvement on SK`s corporate governance seemed to be very successful and it will contribute to raise corporate value. As a result, other companies in Korea need to benchmark the case of SK and try to improve their corporate governance.
본 논문의 연구 목적은 국내 주요 대기업 중 하나인 SK 그룹의 기업 지배구조 개선 사례 연구를 통해 시사점을 도출하는 데 있다. SK 그룹의 지배구조 개선 과정은 크게 두 가지 측면으로 요약해 볼 수 있다. 첫 번째로는 이사회 중심 경영으로의 전환을, 두 번째로는 지주회사의 설립을 들 수 있다.
SK 그룹의 사례 연구로부터 다음과 같은 긍정적인 결과를 도출해 낼 수 있었다. 첫째, 그룹 내 지배구조가 훨씬 단순해지고 투명해졌다는 점을 들 수 있다. 둘째, 그룹 내 특정 계열사의 경영상 위험이 타 계열사로 전이되는 상황을 미연에 방지할 수 있게 되었다. 셋째, 이로 인해 SK 그룹 전체의 사회적 평판이 좋아졌다. 넷째, 필요 시 기업 구조조정이 더욱 효율적으로 이루어 질 수 있게 되었다. 마지막으로, 기업 경영에 있어서의 효율성을 강화할 수 있게 되었다는 점을 들 수 있다.
이러한 SK 그룹의 사례는 다양한 이해관계자들로부터 기업가치 향상 측면에서 성공적이었다는 긍정적 반응을 이끌어내고 있다. 따라서 본 연구에서 다룬 SK 그룹의 기업 지배구조 개선 사례는 향후 여타 국내 기업들이 벤치마킹 할 수 있는 좋은 사례와 다양한 시사점을 제공할 수 있으리라 생각 된다.
