In this study, I examined the relationship between stock grants to executives and market valuation of the firm, as measured by Tobin’s Q. By using the method of cross-sectional time-series regression with 526 sample firms among S&P 1500 firms though out the year 1996 to 2005, I find evidence of a significant positive relationship.
The result shows that the compensation of the management in the form of stock grants is positively related with contemporaneous Tobin’s Q of each firm. This can be a reflection of positive market reaction to stock grants incentives. And there is a significant difference in the increase of Tobin’s Q between the firms which gives restricted stocks to executives and ones which don’t, that is, the former one carries higher firm value increment. Lastly, it shows that the firm which adopted stock grants incentives has affirmative probability of 3.269% to increase its value next year.
본 연구의 목적은 스톡그랜트제도가 기업가치 변화에 미치는 영향을 실증적으로 분석하는데 있다. 최근 경영자에 대한 장기보상제도로써 많은 기업들이 채택하고 있는 스톡그랜트제도는 지난 20년간 국내외에서 보편적으로 사용된 스톡옵션을 대체하는 임원의 장기 인센티브제도로 각광받고 있다. 따라서 본 연구에서는 임원에 대한 주식증여효과를 살펴보기 위해서 1996년부터 2005년까지의 기간 동안 미국의 S&P 1500에 속하는 기업 536개의 패널데이터를 통해 주식증여와 기업가치변화에 대해 고정효과회귀분석을 시행하였다.
본 연구의 결과는 다음과 같이 크게 세 가지로 요약할 수 있다. 첫째, 경영자에 대한 주식증여는 주식시장에서 투자자들에 의해 긍정적인 신호로 받아들여지며 이는 당해 년도 Tobin’s Q 값과 양(+)의 상관관계를 가지는 것으로 나타난다. 둘째, 경영자에게 주식을 증여한 기업과 증여하지 않은 기업간의 기업가치 변화는 유의하게 차이가 있는 것으로 나타났다. 주식증여를 한 기업은 상대적으로 기업가치가 더 높아졌는데 t년도에 주어진 주식은 대개 t+2년도까지 그 영향력이 지속되는 것으로 나타났다. 셋째, 주식증여를 시행한 기업은 기업가치가 올라갈 확률이 3.269%로써 양(+)의 값으로 나타났다.
