This paper investigates whether the composition of outside directors in board effects on the R&D investment intensity of large Korean firms. In this paper, I explore the effects of independence, diversity of a firm’s outside directors by examining how the outside directors ratio, diversity of education backgrounds and professional backgrounds of outside directors in board influence the R&D investment intensity. Furthermore, I analyze the interacting effects of the institutional, foreign ownership and the outside director ratio on the R&D investment intensity. After controlling for other variables-the financial status, ownership structure of firm, industry risk-that may affect the R&D investment intensity, I show that the outside director ratio, educational diversity and professional diversity of outside directors have the positive influence on the R&D investment intensity. Moreover the interaction of outside director ratio and institutional ownership influence the R&D investment intensity positively. However the interaction of outside director ratio and foreign ownership doesn't have significant effect on the R&D investment intensity. This paper implies that the composition of outside directors and the ownership structure may influence firm-level strategic decision and innovation activities.
본 연구에서는 한국 대기업의 이사회에서 사외이사의 비율, 사외이사의 인구통계학적 구성, 사외이사와 기관투자자의 상호작용, 사외이사와 외국인투자자의 상호작용이 어떻게 연구개발투자집중도에 영향을 미치는지 상관관계분석과 선형회귀분석을 통해 실증 연구하였다.
먼저, 선행연구를 통해 기업의 연구개발투자에 영향을 미치는 것으로 밝혀진 기업의 재무적 상황, 소유지배구조, 산업의 특성 등을 통제한 후, 이사회의 독립성 지표인 사외이사비율이 연구개발집중도에 어떻게 영향을 미치는지 조사하였다. 그 결과 사외이사 비율이 증가할수록 연구개발집중도는 높아지는 것으로 나타나 이사회 내의 사외이사들이 기업의 연구개발투자활동에 긍정적인 영향을 미치는 것으로 나타났다.
둘째 사외이사들의 인구통계학적 특성 증 출신대학 다양성과 기능적 다양성이 연구개발집중도에 어떤 영향을 미치는지 조사하였는데, 이사회 내의 사외이사들의 출신 대학과 경력과 직업이 다양할수록 긍정적인 영향을 미치는 것으로 나타났다. 셋째 사외이사비율과 기관투자자지분율 상호작용항, 사외이사비율과 외국인투자자지분율 상호작용항이 연구개발투자집중도와 어떤 관계가 있는지 조사하였는데, 사외이사비율과 기관투자자지분율 상호작용항만 통계적으로 유의하게 정의 관계가 있는 것으로 나타났고, 사외이사비율과 외국인투자자지분율은 긍정직인 영향은 미치지만 통계적으로 유의하지 않은 것으로 나타났다.
본 연구결과는 사외이사의 독립성, 다양성이 기업의 장기적인 성과 향상에 기여할 수 있는 연구개발투자에 긍정적인 기여를 한다는 것과 기업을 감시, 감독할 유인을 가진 기관투자자와 사외이사들의 상호작용으로 경영자의 사적 이익 추구 행위를 효과적으로 막을 수 있다는 것을 시사한다. 또한 사외이사의 활동이 기업의 지배구조 개선에 기여한다는 주장을 지지하는 연구결과라고 하겠다.
