This paper empirically investigates the wealth effect of bank merger on the client firm shareholders using the case of Shinhan and Chohung Bank. It finds five main results from this study. First, when bank merger was completed, the value of new bank and merging bank’s client firms increases, the value of merged bank’s client firms decreases. Second, the size of firms influenced negatively on the stock value of client firms. Third, the events that occurred during the merging process, impacted on the merging and merged bank’s client firms to the opposite side, and the sensitivity for the stock price of merged bank’s client firms is higher than merging bank’s. Fourth, the unique variable of merging bank’s client firms is ROA, and merged bank’s is debt ratio. Fifth, the announcement of bank merge impacted on the small company negatively, whereas the establishment of the new bank impacted on the big company negatively.
본 연구는 신한-조흥은행의 합병이 양 은행 거래기업의 가치에 어떻게 영향을 미쳤는지 분석하였다. 또한 이러한 가치는 거래기업의 규모, 영업기간, 수익성과 안정성 지표 등과 같은 기업특성 변수들과 어떠한 관련이 있는지를 규명하고자 하였다. 동 사례는 일반적인 합병 경우와 달리 ‘선통합 후합병’(post merger integration strategy)전략을 사용하여 3년여의 dual bank 체제를 가짐으로써 합병과정 중 발생하는 유의한 사건들을 살펴볼 수 있었다.
연구결과 합병 시 통합은행 및 인수은행 거래기업의 가치는 상승, 인수대상은행 거래기업의 가치는 하락하였고, 거래기업의 규모가 클수록 주가에 부정적인 영향을 미치는 것으로 분석되었다.
합병과정중 일어난 유의한 사건은 인수은행, 인수대상은행의 거래기업 모두 주가방향을 같은 방향으로 움직였고 그 반응도는 인수대상은행 기업이 더 크게 나타났다. 인수은행인 신한은행의 거래기업에서는 수익성지표인 ROA가, 인수대상은행인 조흥은행 거래기업에서는 재무건전선성지표인 차입금의존도가 유의하게 나타났다. 또한 조흥은행 인수 결정은 중소기업에게, 통합은행 출범은 대기업에게 부정적인 영향을 준 것으로 나타났다.
