Capital Market and Investment Services Act (CMISA), which is currently in the process of legislation, is expected to provide a totally different regulatory framework for capital markets and investment services industry in Korea, and therefore its impacts on financial sector in Korea will be huge.
Under the CMISA, investment banks in Korea are able to play the role of total financial solution provider rather than the current role of simple broker. And the CMISA is an important advance toward an institutional environment needed for upgraded economic functions of Korea`s investment banks.
However we should know that there will be the negative factors behind the positive factors. So in this report, we estimate the expected effects of the CMISA on the capital market development in Korea specially in the aspect of Unfair Trade problem. And it will be the important tasks which Korean investment services industry should give serious consideration.
Therefore we should check the expected problems and it is necessary for us to prepare the Unfair Trade problem through many examples of advanced country which had similar experience several years ago.
In this report, we will look into the three problems of the unfair trade problem. And I will offer a potential solution for the unfair trade in the form of different types of fire-walls between the various functions of a financial in vestment firm. At first, we will see the structual unfair trade problem which comes from the changed market by CMISA. Secondly, we are going to see the unfair trade problem about the analyst report which will be the critical issue with starting CMISA. Finally, we will consider the unfair trade problem related with the stock issue which has been the continual problem for a long time.
본 논문은 이르면 2008년부터 시행예정인 자본시장통합법의 도입에 따른 기존의 금융기관들의 역할 및 위상의 변화로 인하여, 변화하게 될 자본시장과 이에 따른 불공정거래 문제를 다루어 선진 금융시장으로 발돋움하기 위한 정책적 대안을 제시하는데 목적이 있다. 그 중에서도 특히 자본시장통합법의 주인공이 될 ‘금융투자회사’의 출현으로 인하여 과연 이러한 거대 금융투자회사가 자신의 지위를 이용하여 어떠한 불공정거래를 하게 될지, 만약 하게 된다면 그것이 시장에 미치는 영향은 어느 정도일지, 그리고 이러한 부작용을 줄일 수 있는 방안은 없는지에 대한 논의가 주요 논점이 될 것이다.
본 논문에서는 우선 자본시장통합법의 도입배경과 기대효과를 살펴보고, 공정거래법상의 불공정거래에 관해 알아보면서 이론적 틀을 잡아볼 것이다. 기존의 논문에서는 공정거래법상의 불공정거래와 금융회사의 불공정거래의 관계에 대해서 연결고리를 마련한 선례가 거의 없는 만큼 이는 그만큼 의미 있는 작업이 될 것이라 생각한다. 다음으로 자본시장통합법에서 예상되는 불공정거래 문제를 살펴볼 것이다. 마지막으로 본문에서 살펴본 이론적 배경과 자본시장통합법 이후의 예상되는 불공정거래 문제를 통해 이에 대한 대책과 제도적 개선방안 등에 대한 논의를 할 것이다. 물론 이번 논문을 통한 연구의 한계점과 향후 추가적인 연구방향 등에 대한 사항도 포함할 것이다.
