The purpose of this paper is to seek more stable regulatory countermeasures when entrepreneurs attempt to innovate management related to intellectual property transactions using NFT under an incomplete regulatory environment. To this end, this paper examined previous studies that considered the problem of using blockchain, especially NFT, in the current intellectual property transaction, and recalled the necessity of research. Furthermore, after analyzing NFT-related technologies and NFT structures and functions, the type of NFT was defined based on this, and the use of NFT in intellectual property transactions was summarized around actual cases. Among the legal issues related to NFT issuance and distribution for intellectual property transactions, securities regulation and virtual assets regulation were reviewed and normative supplementations such as standardization of metadata were suggested to activate NFT use in intellectual property transactions.
본고는 불완전한 규제환경 하에서 기업가가 NFT를 활용한 지식재산 거래 관련 경영혁신을 시도함에 있어 보다 안정적인 규제 대응책을 모색함을 목적으로 한다. 이를 위해 본고에서는 현재까지 진행된 지식재산 거래에서의 블록체인 활용, 특히 NFT 활용에 관한 문제를 고찰한 선행연구를 살펴보고 연구의 필요성을 환기하였다. 나아가 NFT 관련 기술 및 NFT 구조와 기능을 분석한 후, 이를 기반으로 하여 NFT의 유형을 정의하였으며, NFT의 지식재산거래에서의 활용모습을 실제 사례를 중심으로 정리하였다. 그리고 지식재산 거래를 위한 NFT 발행 및 유통 관련 법적 쟁점 중 가상자산 해당성, 증권성 여부를 중점적으로 검토하였으며, 메타데이터 양식의 표준화 등 지식재산 거래에서의 NFT 활용 활성화를 위한 규범적 보완점에 대해 제언하였다.
