Over the last few years, ESG has become mainstream across the business. ESG disclosure is now a major concern of all kinds of stakeholders (e.g., investors, companies, governments, international and non-governmental organizations). Companies are required to integrate ESG factors into their business and demonstrate their ESG performance; Investors take ESG factors into serious consideration nowadays when making investment decisions; Governments set out to incorporate ESG factors into mandatory financial disclosures; International and non-governmental organizations make efforts to establish a unified ESG disclosure standard. To keep pace with this trend, on January 14, 2021, the Financial Services Commission (FSC) of Korea announced plans that mandate all-KOSPI listed companies to disclose ESG information starting in 2030. This paper presents a comparative study on ESG disclosure system by country and aims to identify key implications and make suggestions for ESG disclosure system of Korea.
최근 ESG가 투자 및 기업평가의 중요한 기준으로 부상하면서 ESG 정보공시에 대한 논의도 활발해지고 있다. 우리나라의 경우 대기업을 필두로 ESG 정보공시가 확산되고 있으며, 2021년 1월 금융위원회와 한국거래소가 ‘지속가능경영보고서 공시계획’과 ‘ESG 정보공개 가이던스’를 나란히 발표하는 등으로, 정부가 공시의무의 단계적인 확대를 위한 본격적인 채비에 나선 상황이다. 본 학위논문은 먼저 ESG와 관련한 주요 정보공개 표준을 개관한 다음 국내외 ESG 정보공시제도의 현황과 국가별 규제 동향을 비교법적 관점에서 살펴봄으로써, 우리나라의 ESG 정보공시제도에 대한 시사점을 도출하고 제도의 개선 방향을 모색해보고자 한다.
