Since the 1997 economic crisis, Korea's corporate governance system has been reformed through several amendments of Commercial Law. Improving corporate governance increases firm value by promoting a transparent and reliable corporate environment and protects shareholder rights. In this study, I analyze the role of Korean corporate governance in two aspects. First, I investigate which structure, board or audit committee, effectively plays monitoring roles in Korea. I analyze the effects on firm values against the expropriation incentives during the global financial crisis. I find that Korean boards transferred monitoring roles to audit committees, which significantly reduce the expropriation. The audit committee’s monitoring function is effective only when all the members are outside directors. The evidences offer valuable insights for investors seeking enforcement of independent audit committee to increase their wealth. Second, I examine executive compensation structures with a focus on family business groups, called chaebols, in Korea. The results show that chaebol firms provide 60% more total compensation to CEOs who are family members than to professional CEOs. This excessive increment is not based on performance-contingent payments, but on fixed payments. The propensity score matching and difference-in-differences analyses robustly support these results. Further, I find that operation of internal capital markets, CEO talents, CEO stock ownership, and family board membership do not explain the excessive compensation of family CEOs in family business groups. The evidence indicates rent extraction through executive compensation in family business groups.
지난 1997년 경제위기 이후 한국의 기업지배구조는 대대적인 상법개정을 통해 개선되어 왔으며 이는 현재까지도 진행 중에 있다. 기업지배구조 개선은 투명하고 신뢰성 있는 기업 환경을 촉진함으로써 기업 가치를 증대시키며 주주 권리를 보호한다. 본 연구에서는 두가지 측면에서 한국 기업지배구조의 역할을 실증 분석하고자 한다. 첫번째, 기업의 최고 의사 결정기구인 이사회와 이사회 내 기구인 감사위원회의 관리 감독 역할을 분석한다. 한국의 상법은 이사회 내 사외이사들에게 감시 역할을 부여하여, 최고경영인(CEO)이 기업 가치 증대에 적절한 결정을 내리는지 혹은 주주 가치를 해치는 행위를 시도하는지를 분별하도록 하고 있다. 또한 한국 상법은 감사위원회에게도 비슷한 권한을 부여하여 이중 감시의 체계를 갖도록 하고 있다. 1997년 금융위기의 주요 원인 중 하나가 관리 감독의 실패라는 점에서, 본 연구가 다루는 한국의 감시 감독 체계의 유효성은 매우 중요한 의미를 갖는다. 두번째, 최근 기업지배구조 연구의 가장 중요한 요소 중 하나인 CEO 임금 체계를 분석한다. 현대 기업들은 CEO에 대한 임금 디자인을 통해 CEO가 기업 가치를 위해 최선을 다하도록 유인을 제공하고자 한다. 한편 과도한 CEO 임금은 기업 가치를 저해하며 일반 직원들의 동력을 훼손한다는 의견도 존재한다. 한국의 CEO 임금은 법 개정에 따라 2013년부터 공시되었고, 이에 따라 한국 CEO 임금에 대한 연구가 활발해지고 있다. 본 연구에서는 재벌 기업 내 가족 경영인들과 전문 경영인들의 연봉을 비교하고, 가족 경영인들의 연봉의 적절성에 대해 실증적으로 분석한다.
