Extant acquisition research has focused on exploring how and when firms can learn from prior acquisition experience. However, these studies have centered largely on the acquirer whereas the role of the target remains largely underexplored. As a result, this dissertation aims to fill this gap by examining how the target can influence the acquirer's acquisition experience. To do so, I first focus on exploring how the firm’s backward-looking prior acquisition returns influence the forward-looking acquisition premium decision. I posit and find that the firm’s prior acquisition returns increases the focal acquisition premium. Furthermore, the target’s characteristics can act as a mechanism that triggers a forward-looking search to reduce the influence of the firm’s prior acquisition returns, leading to a lower focal acquisition premium. Second, I examine if an Acquirer CEO’s prior acquisition experience as a target (ex-TCEO experience) leads to superior acquisition returns. Drawing on the acquisition capabilities literature, I hypothesize and find that the ex-TCEO experience leads to superior acquisition returns and that this value comes from the ex-TCEO’s ability to better identify, negotiate and integrate targets than CEOs without such experience.
다양한 기존의 인수관련 연구는 과거의 인수경험에서 언제 그리고 어떻게 학습이 이루어 지는지에 초점이 모아졌다. 이러한 인수와 관련된 학습 연구분야에서 피인수기업과 관련 된 학습 연구는 아직 전무한 상태이다. 본 논문에서는 저자는 먼저 어떻게 역사적 열망수준인 전 인수의 수익률이 인수 프리미엄에 양의 관계가 있는지 살펴보았다. 본 저자의 주장과 결과는 기업의 인수 전 수익률은 바로 인수 프리미엄에 영향이 있음을 보여주고 있다. 또한 피인수기업의 특성이 기업의 인수 전 수익률에 영향을 줄이는 미래 지향적 요소들을 찾는데 유효한 메카니즘으로서 역할이 있음을 볼 수 있었다. 둘째로 본 저자는 어떻게 인수기업의 CEO의 이전 피인수기업에서의 경험이 인수 후 우수한 수익률을 창출할 수 있는지 살펴보았다. 인수 능력 분야의 문헌에서 기초하여 이전 피인수 기업의 CEO로서 경험이 있는 CEO는 훨씬 높은 수익률을 보여주었다. 피인수기업의 CEO로서의 경험으로 피인수기업을 잘 찾아내고 협상과 인수 후 통합과정에서도 우월한 능력을 보이기 때문이라는 가설을 제기하였으며 결과도 이를 뒷받침해주고 있다.
