Based on the upper echelons theory, approach-avoidance motivation of narcissists, and over-investment hypothesis for the purpose of firms’ engagement in corporate social responsibility (CSR), this study establishes a link between CEO narcissism and CSR activities. I first develop the theoretical argument that CEO narcissism is positively related to both a firm’s socially responsible and irresponsible activities. Then I investigate that how these relationships are moderated by corporate governance structures, such as a ratio of independent directors in the board of director and an institutional investors’ ownership. With a panel dataset of US firms for the period 2000-2012, I find that the relationship between CEO narcissism and corporate socially responsible activities is weakened when the institutional blockholders’ ownership is high and the possibilities of the moderation by the corporate governance structures.
