A growing number of new ventures choose corporate venture capital (CVC) as their funding source and the importance of CVC has been expanding in the venture capital market. CVC provides new ventures with not only financial resources but also complementary resources and management knowledge. However, CVC also has been criticized that they could misappropriate new venture’s knowledge and technology. The central aim of this study is to explain which CVC a new venture should choose to prevent misappropriation under poor intellectual property right regime. Based on the review of previous literature and industry observation, four hypotheses were generated: (i) the impact of intellectual property regime on new ventures CVC choice that operates in same industry, (ii) the impact of intellectual property regime on new ventures CVC choice that embedded in syndication network, (iii) the impact of investment of same industry CVC on new venture performance, and (iv) the impact of investment of syndicated CVC on new venture performance. In this paper, a sample of more than 800 venture investment transactions that appears in Thomson One data-base was analyzed via probit regression method and 2 stage least square method. Data shows evidence that under poor intellectual property right regime, new ventures choose to form ties with corporate venture capital that operates in different industry from venture’s and with corporate venture capital imbedded in investment syndication network. Also, this study shows that new ventures that receiving funds from other industry’s CVC have higher probability to show better performance under poor intellectual property right regime. Unlike pre-vious literatures, this study views CVC as a heterogeneous entity. By showing that new ventures under poor intellectual property right regime behave differently according to CVC type, this study contributes to CVC literature. Also, by showing that new venture’s performance improves by choosing right CVC investor, this study provides practical guidance for start-ups in selecting CVC partner.
최근 많은 스타트업이 기업벤처캐피탈을 그들의 자금 투자처로 삼고 있으며 벤처투자 시장에서의 기업벤처캐피탈의 위상이 높아지고 있다. 기업벤처캐피탈은 일반적인 벤처캐피탈과는 달리 스타트업에게 금전적 지원뿐 아니라 보완자산 및 경영 자문을 제공한다는 장점이 있다. 하지만, 기업벤처캐피탈은 스타트업의 기술을 이용하여 기업벤처캐피탈의 모회사를 성장시킬 유인이 있기 때문에 스타트업은 기업벤처캐피탈로부터 투자를 받을때 기술유출 위험을 느낀다. 본 연구의 주된 목표는 스타트업이 지적 재산권 보호 기제가 약한 환경에 처해 있을 때 어떤 기업벤처캐피탈을 그들의 파트너로 선정하며, 이런 스타트업의 행태가 그들의 기업 성과에 어떠한 영향을 미치는지 알아보는 것이다. 본 연구에서는 800개 이상의 기업벤처캐피탈 투자 거래를 분석하였다. 이를 통해, 지적 재산권 보호기제가 약한 산업에 속한 스타트업이 자신과 다른 산업에 속한 기업벤처캐피탈이나 투자 연합체에 속한 기업벤처캐피탈과 투자 관계를 맺는 것을 확인하였다. 이에 더해, 스타트업이 지적재산권 보호 기제가 약한 산업에 속해 있을 때 자신과 다른 산업에 속한 기업벤처캐피탈로부터 투자를 받는 것이 기업의 성과 향상에 도움이 됨을 밝혔다.
