The purpose of this paper is to investigate the effects of cross-border mergers and acquisitions on target firm shareholders in the Korea stock market. We provide empirical results on how cross-border M&A transactions differ from domestic M&A transactions based on stock and operating performance.
Using a sample of 115 cross-border and domestic takeovers with Korean target companies, we find that target firm shareholders in cross-border takeovers gain significantly more in short term performance than targets in domestic takeovers. Consistent with the hypothesis, the average cumulative abnormal return in cross-border transactions around announcement date is larger than the wealth effect of domestic transactions. In the long run, acquirer firms of cross-border mergers show significantly stronger operating performance than acquirers of domestic mergers.
We also estimate multivariate regression to analyze the determinants of target firm shareholders wealth effects for cross-border takeovers. Our analysis shows that the cash flow, price to book ratio, firm size, and capital expenditure are related to target firm shareholders wealth effects. With all these analysis, our results implies that there exist synergistic effect in cross-border M&As.
본 연구에서는 우리나라 기업을 대상으로 국제인수합병 이후 합병대상기업의 장기성과를 실증적으로 분석하였다. 국제인수합병의 효과를 실증분석하기 위해 1995년부터 2006년까지 국제 인수합병을 완료한 45개 기업과 국내 인수합병을 완료한 70개 기업을 통해 주식시장 반응과 장기성과를 비교분석 하였다. 실증분석 결과 국제 인수합병이 국내인수합병에 비해 더 큰 장단기 성과를 보여주었다. 공시 20일 전후의 누적비정상수익률은 국제 인수합병 기업이 8.38%, 국내 인수합병 기업이 5.96%로 나타났다. 장기성과 비교를 위해 인수합병 완료전과 인수합병 3년 후의 operating cash flow, ROE 와 ROA 상태를 검토한 결과 국제 인수합병 기업이 더 큰 재무성과를 나타내는 것으로 보인다. 또한 어떤 요인들이 외국 기업이 국내 기업 인수 시에 기업의 가치를 올리는 지에 대해 비정상 수익률과 operating cash flow 성장률로 다중회귀분석을 하였다. 다중회귀분석 결과 현금흐름, price to book ratio, 기업규모 등의 요인들이 관계가 있는 것으로 나타났다. 본 연구에서는 국제인수합병 기업들이 시너지 효과로 인해 국내인수합병 기업들보다 더 큰 장단기 성과를 보여주었다.
